Any disputes arising out of or relating to this Agreement or your use of the Site will be governed by and construed in accordance with the laws of the United States and the State of Florida, without regard to its conflict of law principles. If any provision of this Agreement is held to be invalid, unlawful, void, or unenforceable for any reason, then that provision will be deemed severable from this Agreement and will not affect the validity and enforceability of any remaining provisions. The remaining provisions will be enforced to the fullest extent permitted by law. In every case and to the full extent possible under applicable law, Mainstay Capital and its users elect to resolve all actions arising out of or related to this Agreement or the Site through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules and Mediation Procedures. The arbitration will be conducted in English and will take place in Jacksonville, Florida. Each party will bear its own costs and expenses of the arbitration, and the arbitrator’s fees will be shared equally by the parties, unless the arbitrator finds the claim to be frivolous, in which case the prevailing party will be entitled to recover reasonable attorney fees and costs. If binding arbitration is found to be inapplicable or unenforceable with respect to any action arising out of or relating to this Agreement or the Site, you agree to submit to the exclusive jurisdiction of the state and federal courts in Florida, waiving all affirmative and legal defenses with respect to jurisdiction, forum, and venue, as well as your right to a jury trial.

2. Mainstay Capital is not responsible for the privacy, security, or information policies of third party links from or on the Site. Clicking on said links may take the user to other sites or display information from third parties. Mainstay Capital is not responsible for the content, privacy policies, terms of use, or any other factor of such third parties. It assumes neither liability nor responsibility for their actions, information, or communication. Such products, services, or content are provided without endorsement or warranty of any kind. User accepts sole responsibility for accessing such links.

3. You represent and warrant you will not use this Site or Mainstay Capital, (a) as part of any scheme to violate federal, state, or other laws and regulations including those around financial transactions, or (b) for any other purposes that is unlawful or prohibited by this Agreement, including but not limited to attempting or actually (i) disrupting, impairing or otherwise interfering with the operation or integrity of the Site or circumventing any Site security system; (ii) collecting any information about other users of the Site; or (iii) systematically extracting content or other information or data contained in the Site.
